1. Who these terms apply to
These Terms of Service ("Terms") govern access to and use of Basik Chat, Basik Workboard and related apps, websites and services (the "Services") provided by The Basik Company [legal entity name and state of organization] ("we", "us"). If you use the Services on behalf of a company or other organization ("Customer"), you agree to these Terms on its behalf and confirm you have authority to do so. If Customer has signed an order form or enterprise agreement with us, that agreement controls where it conflicts with these Terms.
2. Accounts
You must provide accurate information, keep your password confidential and be at least 16 years old. Customer's owners and administrators control its workspace, including who can join, the roles they hold and which features are enabled.
3. Customer content
Customer owns the messages, files and other content its users submit ("Customer Content"). Customer grants us the rights needed to host, process, transmit and display Customer Content solely to provide and improve the Services for Customer, as described in our Privacy Policy. We do not sell Customer Content or use it to train AI models.
4. Acceptable use
You may not use the Services to: break the law or infringe others' rights; send spam or malware; harass, threaten or exploit anyone, including minors; attempt to access accounts or data without authorization; probe, scan or overload our systems except under our responsible disclosure process; or resell the Services without our written permission. We may suspend accounts that violate these rules.
5. Third-party services
Some features connect to services Customer chooses, such as an AI provider using Customer's own API key. Customer's use of those services is governed by its agreement with that provider, and Customer is responsible for their fees.
6. Free and paid services
Basik Chat and Basik Workboard are offered free of charge. Paid services, such as Basik Sign, add-ons and Enterprise agreements, are billed as described at checkout or in the applicable order form. Applicable taxes are added.
Automatic renewal
Paid subscriptions renew automatically at the end of each billing period (monthly or annual) for the same period, at the then-current price, and the payment method on file is charged, until you cancel. Checkout shows the price, billing period and that the plan renews automatically before you subscribe. For annual plans, we email a reminder before each renewal. If a plan starts with a free trial, it converts to a paid subscription when the trial ends unless you cancel before then, and we email you before the trial ends.
Cancelling, pausing and changing
Owners and admins can cancel online at any time in Basik under Settings, Billing, on the web, desktop or mobile apps. Cancellation stops future renewals; the plan stays active until the end of the period already paid for. Except where required by law, fees already paid are not refunded. Plans can also be paused for up to three months (no charges while paused, and the plan's features are off) or changed; changes to seats, plan or billing period are prorated. Agreements billed by invoice are changed through your account contact.
Failed payments and price changes
If a payment fails, we retry automatically over several days and notify the billing contact. If payment still can't be collected, the paid plan ends; free features are not affected. We'll give at least 30 days' notice before a price change takes effect at your next renewal.
7. Changes to the Services
We continually improve the Services and may add, change or remove features. If we discontinue a Service or materially reduce its functionality, we'll give reasonable notice and a way to export Customer Content.
8. Termination
Customer may stop using the Services at any time. We may suspend or terminate access for material breach of these Terms. After termination, Customer may request an export of Customer Content within [30] days, after which we'll delete it as described in our Privacy Policy.
9. Disclaimers
EXCEPT AS EXPRESSLY STATED IN AN ORDER FORM, THE SERVICES ARE PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT. AI-generated output may be inaccurate and should be reviewed before you rely on it.
10. Limitation of liability
